Onetag Acquires Italian Creative Ad Tech Platform Aryel to Bolster Sell-Side Curation and AI-Driven Deal Optimization

This acquisition marks Onetag’s inaugural foray into M&A activity and is designed to equip its Smart Curation solution with advanced tools for interactive ad creative development and testing. These new functionalities are anticipated to play a crucial role in training Onetag’s forthcoming AI engine, slated for release by the end of March.

The Imperative for Differentiation in the SSP Landscape

The digital advertising ecosystem is undergoing a significant transformation, driven by the escalating adoption of supply-path optimization (SPO). This trend places considerable pressure on Supply-Side Platforms (SSPs) to demonstrate value beyond their role as mere conduits for ad inventory. To counteract the perception of being interchangeable, SSPs are increasingly investing in strategies that highlight their unique offerings. Filippo Gramigna, co-CEO of Onetag, articulated the company’s strategic rationale, stating that the curation market has become saturated with "non-differentiated middlemen." He emphasized that the most effective way for platforms like Onetag to distinguish themselves in this increasingly competitive environment is by simplifying the process for advertisers of all sizes to engage with curation and to independently generate their own deal IDs.

Aryel’s Creative Prowess: A Complement to Onetag’s Curation

Aryel’s core competency lies in its ability to adapt and reformat creative assets to seamlessly integrate with programmatic advertising formats. The platform specializes in transforming existing creative materials to adhere to standard IAB banner sizes and online video specifications. This capability is particularly valuable for advertisers seeking to leverage their existing creative assets within the programmatic ecosystem without extensive rework.

Furthermore, Aryel’s expertise in interactive creative development directly complements Onetag’s existing curated marketplace. Onetag boasts a curated inventory of approximately 50,000 high-impact ad units, meticulously sourced through over 2,000 direct-to-publisher connections. By integrating Aryel’s interactive creative tools, Onetag aims to enhance the effectiveness of these premium ad placements.

"Placing interactive ads within already high-performing ad slots should make those placements even more effective at driving outcomes," Gramigna explained. He cited an example of Aryel’s "try it on" creative format, which is particularly suited for apparel and accessories brands. An eyewear brand, for instance, could utilize this format to allow potential customers to virtually try on different frames using their device’s camera. This immersive experience would occur entirely within a standard IAB banner, allowing users to engage without leaving the publisher’s website, thereby enhancing user experience and potentially increasing conversion rates.

The potential applications extend beyond traditional display advertising. Aryel has also been actively experimenting with interactive formats for AI chatbot interfaces. This forward-looking approach positions Onetag to capitalize on emerging advertising opportunities within conversational AI platforms, a rapidly growing sector of the digital landscape.

A Synergistic Relationship Leading to Acquisition

The partnership between Onetag and Aryel is not new. The two companies began collaborating approximately eighteen months prior to the acquisition. The success and synergy observed during this period of collaboration were instrumental in Onetag and its largest shareholder, Wise Equity, deciding to pursue the acquisition.

"The fact that they’ve been able to get the brands and the CMOs they typically talk to excited about working in programmatic thanks to these formats helps the narrative when it comes to our relationship with media agencies," Gramigna remarked, highlighting the positive impact Aryel’s creative solutions had on engaging brands and their marketing leaders with programmatic advertising.

Financial and Operational Integration

While Onetag’s co-CEO declined to disclose the specific financial terms of the acquisition, he confirmed that the deal has been finalized. Based on the companies’ financial performance from the previous year, the combined entity is projected to generate approximately $70 million in net revenue.

The acquisition also brings Aryel’s entire team of 45 employees into the Onetag fold, increasing the total headcount to around 130 professionals. Key to Onetag’s leadership expansion, Aryel’s four co-founders will assume significant roles within the combined organization. Mattia Salvi, Aryel’s CEO, will take on the crucial position of Chief Growth Officer and Head of Go-to-Market, indicating a strong focus on expanding Onetag’s market reach and strategic initiatives.

The integration of Onetag and Aryel’s respective cultures and operational workflows is anticipated to be a relatively smooth process. Gramigna noted that the geographical proximity of Aryel’s base to Onetag’s technology hub in Tuscany, approximately an hour’s drive apart, will facilitate this integration.

Strategic Growth Pillars: US Expansion and CTV

Onetag’s long-term strategic vision encompasses strengthening its established presence in the European market while simultaneously building a more substantial footprint in the United States. Currently, Onetag maintains a modest office in New York to serve its US-based publisher clients. The acquisition of Aryel, with its creative technology and potential to attract a broader range of advertisers, is expected to support this US market expansion.

Another key growth initiative for Onetag this year is the expansion of its curation offering beyond its current focus on display and online video advertising. The company has demonstrated robust growth, with net ad revenue increasing by 34% last year, even without a dedicated connected TV (CTV) business. The incorporation of CTV into its offerings is expected to unlock significant incremental growth opportunities.

The strategic alignment of Onetag and Aryel’s client portfolios also presents a notable benefit. With limited overlap in their respective client bases, the acquisition has already served to strengthen Onetag’s client roster on the buy side.
